| Audit Services |
| While the audit is a major element of our work for you, it is by no means the full measure of our service to you. We recognize that you expect and deserve far more than a report attesting to financial reporting adequacy. We see, as a key element in our contract with you, our promise to be "more than auditors". During the course of our work, we are alert to potential opportunities for improving our client's business. Our management report contains meaningful recommendations for improvements in the accounting system and controls, as well as identifying business and tax-saving opportunities.
We emphasize the utilization of client staff to the maximum extent; this combined with our practice of assisting clients to increase self sufficiency in accounting areas, can be important factors in controlling audit fees.
Our audit approach requires the professionals in charge of the audit to be deeply involved in the audit in the audit planning process, and provides for significant judgement throughout the audit.
Planning - We recognize that the success of an audit depends on how well it is planned. In the planning process, we obtain an extensive understanding of your business, including its entire control environment such as process controls, computer applications, other internal accounting controls, etc.
Internal Business Cycles - We approach the audit by cycles, relating the scope of the audit to the way Company does business. Using cycles allows us to integrate audit procedures that increase audit efficiency.
Audit Risks - By evaluating audit risk, we consider your business and those areas where the greatest risk exists. We will concentrate our audit effort in the high risk areas, both for the audit as a whole, and for each cycle of the financial statements.
Statistical Sampling Techniques - We recognize that statistical sampling is often more effective and efficient than non - statistical sampling. We will determine sample sizes that are objective, based on our judgement as to risk and materiality. This means that we are able to determine a minimum size that is consistent with the risks.
Client Assistance - As part of our audit approach, we emphasize the utilization of client staff to the maximum extent. We assist in identifying areas that are conducive to your personnel's assistance.
Our approach is to change the audit function from what many think of as a necessary evil, to a cost-effective service of value to you.

| Tax Services |
| At Hoberman, Miller, Goldstein & Lesser, P.C., we regard taxes as a cost that can be controlled by effective tax planning. The HMGL tax professional recognizes that he/she is your advocate. Research and planning are always conducted with this as the foremost thought. We help you achieve your tax goals; not merely explaining why your plans cannot achieve desired goals but by presenting workable alternatives.
The HMGL tax professional is more than a repository of tax law and its interpretation. He/she thoroughly understands your industry and the environment in which you operate. He/she is familiar with financial accounting and financial disclosure requirements. He/she is aggressive with regard to the ever-changing body of tax laws.
In the final analysis, we believe that you are entitled to an extra dimension of thought and planning to achieve your tax objectives rather than a routine approach, and we are committed to providing this extra dimension. |

| Valuation Services |
| Valuation engagements involve arriving at an opinion regarding the estimated value of an ownership interest in a business entity as of a given point in time. One of the most critical and ethical decisions the HMGL professional must make involves the issue of objectivity. On every valuation engagement we assume one of the following roles:
As an independent consultant, performing an objective valuation of the company (or a specific interest in the company), or
As an advisor, determining and negotiating a value that is most beneficial to the client's position
We have been involved in hundreds of matrimonial actions, wherein we've represented both plaintiffs and defendants or have been court appointed, requiring the discovery of undisclosed assets, ascertaining net worth requiring the valuation of all assets and determination of income streams. We have performed numerous valuations of privately held business enterprises and professional practices in connection with matrimonial proceedings, along with numerous enhanced earnings capacity valuations of educational degrees and professional licences. In addition, our firm has experience as an arbitrator in divorce proceedings and has provided expert witness testimony in divorce proceedings on numerous occasions. We are on the list of experts and court appointed appraisers of the Supreme Court of Kings County and Richmond County.
As part of our commitment to provide the highest quality of professional service to our clients and the courts, all partners and staff members involved in the estate, gift, trust and valuation area are required to attend conferences, seminars and educational courses on the latest developments, court cases and changes in tax laws regarding these areas which includes the latest techniques in asset and business valuations. |

| Government Agency Services |
| To the best our knowledge, we are the only independent certified public accounting firm that represents two New York State Public Administrators. We are currently retained by the Public Administrator of the Bronx County and have been servicing them for over twenty years in the preparation of all Federal Estate Tax Returns for all estates administered by the Public Administrator("PA") as well as all income tax returns required by the decedents and all fiduciary returns required by the PA. We are retained by the PA under the jurisdiction of the Surrogate's Court of Bronx County and have maintained our contact through the years irrespective of changes in both the Surrogate and and the PA. In addition, we are retained by the Westchester County, P.A. to perform these same services. In connection therewith, we are often called upon to perform forensic accounting wherein we search for undisclosed assets.
We have been exposed to every type of transaction that occurs in the Office of Public Administarator. This includes, but is not limited to, audits from the Attorney General's Office of the State of New York and from the Office of the Comptroller of the City of New York.
During our tenure we located a computer company in California that had an operating system for Public Administrators in jurisdictions other than in New York State. We had this computer company modify their system to conform to the requirements of the Public Administrator of Bronx County.
The system performs all requisite bookkeeping functions and generates the Accountings of each Estate. All records are current and accurate, and Funds are balanced to the penny for each individual Estate. Furthermore, the system performs the entire range of functions for police property cases, hospital cases and nursing home cases. |

| National Firm Joint Participation |
| There are certain instances when a client needs a national firm name on its financial statements. In many instances the costs for having such services far outweighs the benefit, yet, the necessity still may exist. The partners at HMGL due to their strong relationship with national firms have been able to implement a unique approach to better service its clients' needs through a joint effort with these national firms. On a case by case basis, we meet with the client approved national firm and develop a strategy to address the accounting and/or tax information that management needs to provide in order to reduce the exorbitant costs of having a national firm. Additionally, we have performed engagements wherein HMGL performs the majority of the audit work including the preparation of the financial statements and the national firm "piggybacks" our work and signs the financial statements. Basically, we are working toward eliminating the redundancy and inefficiency that can occur due to the lack of training, client awareness, inability to make a decision and documenting the appropriate accounting trails and workpapers. We have been very successful with this appraoch and our clients have found it to be a viable alternative to incurring the excessive fees charged by the nation's largest firms. |
